Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and blist, LLC ("blist," "we," "us," or "our") governing your access to and use of the blist website, mobile application, platform, and any related services, communications, content, features, and tools that reference these Terms (collectively, the "Platform").

By accessing or using the Platform, creating an account, requesting, booking, purchasing, scheduling, coordinating, or using any services made available through the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Platform.

These Terms incorporate by reference our Privacy Notice and any additional terms, policies, schedules, or guidelines that we make available through the Platform or otherwise provide to you in connection with particular services, features, promotions, or booking types.

blist reserves the right, in its sole discretion, to modify, amend, or replace these Terms at any time. Any changes will be immediately effective upon posting of the revised Terms on the Platform, with an updated "Last Modified" date. It is your responsibility to review these terms periodically for changes. Material changes may, at the Company's discretion, be communicated via the email address associated with your account or through a prominent notice on the Platform. Your continued use of the Platform after revised Terms means that you accept and agree to the changes.

1. Eligibility; Authority; Use of the Platform

You must be at least 18 years old and capable of forming a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

If you use the Platform on behalf of another person, household, business, or other entity, you represent and warrant that you have authority to bind that person or entity to these Terms, in which case "you" includes both you and that person or entity.

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes. This license does not include the right to: (a) modify, copy, or create derivative works based on the Platform or its content; (b) use any data mining, robots, scraping, or similar data-gathering or extraction methods on the Platform; (c) download (other than page caching) any portion of the Platform or any information contained therein, except as expressly permitted; or (d) use the Platform or its content other than for its intended purposes.

You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Platform by, any third party. You shall not use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform. You shall not attempt to gain unauthorized access to any portion of the Platform, other accounts, computer systems, or networks connected to the Platform through hacking, password mining, or any other means.

2. The Platform and blist's Role

blist operates a technology platform and related support functions through which users may request, organize, schedule, coordinate, communicate about, and pay for certain assistant, lifestyle coordination, and related support services.

Services available through the Platform may include, by way of example, lifestyle coordination, appointment setting, travel planning support, vendor support, event support, move support, and other categories that blist may add, remove, or modify from time to time.

blist may facilitate customer support, scheduling, communications, payment processing, administrative support, service coordination, trust-and-safety review, and related platform functions. blist may also curate, screen, onboard, support, or coordinate independent service providers who use the Platform. Any screening, onboarding, verification, support, or coordination performed by blist is limited, may vary by service category, and does not constitute a guarantee of any provider's availability, quality, safety, suitability, legality, or fitness for a particular task.

Unless blist clearly states otherwise for a specific offering, services booked through the Platform are offered and performed by independent service providers, not by blist as the direct provider of the underlying services. Even so, blist may, at their discretion, review, support, or administer matters relating to bookings, complaints, payment issues, incidents, refunds, trust and safety, and Platform integrity. Any label used on the Platform such as 'blist Assistant,' 'blist Provider,' or similar terminology is a platform descriptor only and does not mean the person is blist's employee, agent, or representative.

blist reserves the right to decline, limit, reschedule, suspend, remove, or cancel any request, booking, service category, or account at any time in its discretion, including for safety, legal, operational, payment, fraud, compliance, or quality-related reasons.

blist is not a law firm, accounting firm, financial adviser, investment adviser, travel supplier, common carrier, medical provider, healthcare provider, home healthcare agency, insurer, emergency service provider, licensed contractor, or moving company, and does not provide legal, tax, accounting, medical, investment, insurance, or other licensed professional advice or services unless expressly stated in a separate written agreement.

A request submitted through the Platform is not a confirmed booking unless and until blist confirms the booking through the Platform or otherwise notifies you that the request has been accepted and scheduled.

3. Service Providers; Third Parties

Certain services made available through the Platform may be performed, fulfilled, supported, or coordinated by independent service providers or by third-party vendors, merchants, suppliers, travel providers, or other third parties ("Third Parties"). Independent service providers who use the Platform operate their own independent businesses and are not employees or agents of blist.

blist may facilitate your access to, scheduling with, communication with, or coordination with independent service providers and Third Parties. However, unless blist expressly states otherwise in writing for a specific service, blist does not manufacture, own, operate, or control third-party goods or services and does not guarantee the availability, pricing, timeliness, legality, safety, suitability, quality, or results of any Third Party or third-party goods or services.

Where blist assists in identifying, recommending, scheduling, booking, coordinating, or purchasing goods or services from a Third Party, your relationship with that Third Party may also be governed by the Third Party's own terms, policies, cancellation rules, refund policies, waivers, and other requirements. You are responsible for reviewing and complying with those terms where applicable.

Nothing in these Terms creates an employment, agency, partnership, joint venture, franchise, or fiduciary relationship between you and blist, or between you and any service provider or Third Party, except as expressly stated in a separate written agreement.

If you choose to transact with a service provider or other third party outside the Platform after first meeting through the Platform, blist may have no obligation to provide payment handling, customer support, refund review, incident review, or dispute assistance for that off-platform transaction.

Unless otherwise disclosed through the Platform or approved by blist, a service provider may not send an undisclosed substitute to perform an in-person service. blist may permit, prohibit, or restrict the use of assistants, subcontractors, or additional personnel depending on the service category, booking type, customer expectations, safety considerations, background-screening requirements, insurance requirements, and Platform Rules.

4. Accounts and Account Security

You may be required to create an account to access certain Platform features. You agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us promptly if you suspect unauthorized access to or use of your account.

We may suspend, restrict, or terminate your account, or require additional identity, payment, or security verification, at any time in our discretion.

5. Service Requests; Booking Scope; Approvals

You are responsible for providing complete, accurate, and timely information regarding your requested services, including relevant timing, budget, location, access instructions, preferences, constraints, deadlines, household details, vendor information, and any other information reasonably necessary to evaluate or perform the request.

A service request may require clarification, follow-up questions, additional scoping, confirmation, approval, or prepayment before work begins. blist may reject or delay a request if information is incomplete, inaccurate, unsafe, unlawful, impracticable, or outside blist's then-current service scope.

For the avoidance of doubt, a service request is not a confirmed booking unless and until blist confirms the booking through the Platform or otherwise notifies you that the request has been accepted by an independent service provider and scheduled by blist.

If the scope of a requested service changes, expands, becomes more complex, requires additional time or resources, or involves added third-party costs, blist may revise pricing, timing, or availability and may require your further approval before continuing.

You are responsible for reviewing service details, booking details, quoted costs, proposed purchases, and related terms before confirming any booking, purchase, or approval.

If scope, timing, location, budget, access conditions, or third-party requirements materially change after a request is submitted or confirmed, you will notify blist immediately. In the event scope is materially changed, blist may require renewed approval, revised pricing, rescheduling, reassignment, or re-confirmation before services continue.

6. Pricing; Payment Authorization; Charges

You agree to pay all amounts associated with your use of the Platform and any services requested, booked, purchased, or arranged through the Platform, including service fees, platform fees, coordination fees, convenience fees, subscription or membership fees if applicable, deposits, approved reimbursements, third-party costs, taxes, cancellation fees, rescheduling fees, no-show fees, chargeback-related amounts, and any other charges disclosed to you or authorized by you.

By providing a payment method, you authorize blist and its designated third-party payment processor(s), including Stripe where applicable, to charge your payment method for all amounts due under these Terms. You also authorize blist and its processors to place holds, preauthorizations, temporary authorizations, reserves, or verification charges on your payment method where appropriate.

All prices are subject to change until confirmed. If a pricing error, availability issue, vendor change, scope change, processor issue, or similar issue arises, blist may cancel, revise, or decline the affected request and notify you accordingly.

Unless otherwise expressly stated, all payments are non-refundable once charged, except as required by law, as expressly provided in these Terms, or as otherwise provided in booking-specific terms or any separate cancellation, refund, or service-resolution policy blist may adopt.

If your payment method fails, is declined, is reversed, becomes invalid, or becomes subject to a dispute, blist may suspend or terminate services, cancel future services, collect amounts owed by lawful means, offset credits or refunds otherwise due, and recover related processing or dispute costs to the extent permitted by law.

Any refund, credit, reversal, or other payment adjustment may depend on the nature and cause of the issue, including whether it arose from customer action or inaction, service-provider action or inaction, a third party, the payment processor, or circumstances outside blist's reasonable control.

7. Third-Party Purchases; Reimbursements; Deposits

As part of certain services, blist may, at your request or with your authorization, help identify, coordinate, reserve, purchase, or arrange third-party goods or services, including vendor quotes, event-related services, travel-related reservations, transportation, lodging, tickets, supplies, and other items.

Unless blist expressly agrees otherwise in writing:

  • you are responsible for all third-party costs, including deposits, vendor charges, taxes, fees, shipping, gratuities, cancellation penalties, and other expenses;
  • blist may require advance payment, card authorization, or prior approval before incurring third-party charges on your behalf;
  • blist does not guarantee third-party pricing, inventory, availability, timing, performance, delivery, or refundability;
  • third-party goods and services remain subject to the provider's own terms and policies; and
  • disputes regarding third-party goods or services may need to be resolved directly with the applicable provider, merchant, carrier, supplier, or vendor, although blist may elect to assist in its discretion.

If blist advances costs, makes purchases, or incurs charges on your behalf, you agree to reimburse blist promptly upon demand or as otherwise agreed through the Platform. Unless expressly agreed through the Platform or otherwise in writing, neither blist nor any service provider is obligated to advance personal funds for third-party goods or services on your behalf.

blist and any applicable service provider may rely on approvals, spending limits, reimbursement terms, and purchase instructions communicated through the Platform or otherwise documented by blist.

8. Travel Planning Support; Vendor Support; Referrals

If blist offers travel planning support, vendor support, quote gathering, recommendations, or referral-type services, those services are limited to coordination, research, administrative support, and related assistance.

Final review, selection, and approval of vendors, suppliers, travel arrangements, carriers, hotels, transportation providers, event providers, venues, or other Third Parties remains your responsibility.

blist does not guarantee that:

  • any quote is the best available quote;
  • any itinerary, reservation, or service will remain available;
  • any Third Party will perform as expected;
  • any cancellation, change, credit, or refund will be granted by a Third Party; or
  • any recommendation is suitable for your specific needs.

You are solely responsible for reviewing third-party cancellation rules, travel documentation requirements, identification requirements, health or entry requirements, provider terms, and all other third-party conditions before confirming or paying for any third-party service.

Where a service provider assists with vendor coordination, purchases, pickups, reservations, or related tasks, that provider acts only within the scope of the accepted booking and any documented spending or approval limits.

9. Cancellations; Rescheduling; No-Shows

You may cancel or reschedule services subject to any booking-specific timing, fee, refund, credit, and rescheduling terms disclosed at booking, in the checkout flow, in a separate policy, or otherwise communicated to you.

If you cancel too close to the scheduled time, fail to provide access, fail to respond to required communications, fail to approve necessary scope or expenses, or are otherwise unavailable or unprepared for the scheduled service, blist may charge a cancellation fee, rescheduling fee, no-show fee, or the full amount permitted by the applicable booking terms.

Any resulting relief, fee, credit, or refund may depend on the circumstances and on whether the issue arose from customer action or inaction, service-provider action or inaction, a third party, payment or processor issues, or circumstances outside blist's reasonable control.

If a service provider reasonably determines that actual conditions are unsafe, unlawful, materially misrepresented, or outside the agreed scope, blist or the provider may decline, pause, limit, reschedule, or cancel the service, and any resulting fees, credits, or refunds will be determined based on the circumstances and any applicable policy.

10. Customer Responsibilities

You agree to:

  • provide accurate, complete, and timely information;
  • respond promptly to blist communications and approval requests;
  • use the Platform and services only for lawful purposes;
  • maintain a safe, lawful, and reasonably suitable environment for any in-person services;
  • identify known hazards, fragile items, access limitations, pets, building restrictions, and special conditions that could affect service performance;
  • secure cash, valuables, confidential materials, firearms, controlled substances, and other sensitive property unless expressly needed for the requested service and lawfully handled;
  • promptly report suspected fraud, theft, unsafe conduct, harassment, illegality, or other serious service issues and cooperate with blist's reasonable requests in reviewing or investigating the matter;
  • obtain any necessary permissions, consents, building approvals, or third-party permissions related to the requested service;
  • review and approve any proposed purchases, bookings, quotes, or third-party arrangements as required;
  • ensure that the requested service remains within the agreed scope and promptly disclose material changes in access conditions, hazards, household circumstances, timing, and other conditions that could affect safety, legality, or performance; and
  • not use the Platform to solicit, engage, or pay a service provider off-platform for services first initiated through the Platform, except where blist expressly permits otherwise.

You are responsible for decisions you make based on information, quotes, suggestions, recommendations, referrals, schedules, or options provided through the Platform.

11. Prohibited Uses and Prohibited Requests

You may not use the Platform or request services for any unlawful, fraudulent, abusive, unsafe, exploitative, harassing, discriminatory, or otherwise prohibited purpose.

Without limiting the foregoing, you may not use the Platform to request or facilitate:

  • illegal activity or contraband;
  • the purchase, transport, or delivery of illegal substances or unlawfully possessed controlled substances;
  • activity involving weapons, explosives, or hazardous materials, except as expressly allowed by law and approved by blist;
  • medical care, nursing care, diagnosis, treatment, medication administration, or other healthcare services;
  • legal, tax, financial, investment, or insurance advice;
  • services requiring a professional license, permit, certification, or regulatory authorization, unless expressly supported by blist and properly handled by appropriately qualified persons;
  • unsafe lifting, unsafe transport, unsafe entry, or dangerous property conditions;
  • impersonation, fraud, identity misuse, or unauthorized access to accounts, mail, property, or records;
  • any use involving abuse, neglect, exploitation, or endangerment of minors, elders, or vulnerable persons; or
  • services requiring a professional license, permit, certification, clearance, insurance, registration, or regulatory authorization, unless the applicable service category is expressly enabled by blist and the service is performed by a provider who is appropriately qualified and, where required by blist, approved for that category.

Unless blist expressly enables a passenger-transportation service category through the Platform, you may not request that any service provider transport you, any household member, minor, vulnerable person, guest, employee, invitee, or other passenger. Property pickup, delivery, courier, errand-related transportation, or other transportation-related services may be subject to additional service-category rules, eligibility requirements, insurance requirements, geographic limits, item restrictions, and booking-specific instructions. blist may reject, pause, cancel, or limit any transportation-related request that blist determines is unsafe, unlawful, outside the applicable service scope, or inconsistent with the Platform Rules or booking details.

blist may refuse, pause, investigate, or terminate any request or account if it is believed, in the discretion of blist, that a request is prohibited, unsafe, unlawful, or inconsistent with our policies.

blist may maintain additional service-category rules, prohibited-task rules, safety standards, eligibility requirements, and booking-specific restrictions through the Platform. Those rules are incorporated into these Terms when made available or communicated to you in connection with a service request, booking, service category, or Platform feature. blist may reject, pause, cancel, or limit any request that blist reasonably determines is prohibited, unsafe, unlawful, outside blist's then-current service scope, or inconsistent with those rules.

12. Access to Property; Conditions for In-Person Services

If a requested service involves in-person access to a residence, building, office, event venue, or other property, you must ensure that lawful and timely access is available and that the location is reasonably safe for the requested service.

If the service provider cannot access the location, is delayed due to your failure to provide instructions or approvals, or encounters unsafe, unsanitary, unlawful, or materially different conditions than expected, blist may cancel, reschedule, limit, or reprice the service and may charge you for incurred time, costs, or fees. A service provider may decline to enter, begin, or continue services where the provider reasonably believes conditions are unsafe, unlawful, materially different from what was disclosed, or outside the agreed scope.

blist is not responsible for delays or failures caused by restricted access, building rules, third-party denials of entry, elevators, security desks, parking issues, weather, concealed hazards, inaccurate information, or conditions outside blist's reasonable control.

If a service provider cannot gain access, experiences a material access delay, or is required to leave because of unsafe or materially misrepresented conditions, blist may treat the booking as canceled, incomplete, delayed, or rescheduled and may assess fees or provide relief based on the circumstances and any applicable policy.

13. Communications; Electronic Consent

By creating an account, providing contact information, or using the Platform, you consent to receive communications from blist and, where applicable, from service providers acting through the Platform, including by email, text message, phone call, push notification, and other electronic means regarding your account, requested services, bookings, updates, security, support, payments, disputes, legal notices, and other matters related to the Platform. Where the Platform permits or blist directs, service providers may communicate with you through the Platform or through contact channels facilitated by the Platform solely for booking-related purposes.

You agree that these electronic communications satisfy any requirement that communications be in writing.

You are responsible for any message and data charges imposed by your mobile carrier.

14. Reviews; Feedback; User Content

The Platform may allow you to submit reviews, ratings, comments, photos, messages, suggestions, receipts, documents, or other content ("User Content"). By submitting User Content, you grant blist a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, use, display, reproduce, modify, adapt, distribute, and otherwise exploit that User Content in connection with operating, improving, supporting, marketing, and promoting the Platform and blist's business, subject to applicable law and our Privacy Notice. Without limiting the foregoing, if you submit a review, testimonial, rating, photo, or similar content, blist may use that content, together with your first name, last initial, city, or similar non-sensitive attribution you provide or make available through the Platform, for promotional and marketing purposes, subject to applicable law and the Privacy Notice.

You represent and warrant that you have the rights, permissions, and consents necessary to submit the User Content and grant the foregoing license, and that the User Content is not false, misleading, defamatory, unlawful, infringing, invasive of privacy, discriminatory, obscene, or otherwise objectionable.

blist may remove, edit, refuse, or moderate User Content at any time in its discretion.

If you provide blist or the Platform with any suggestions, ideas, enhancement requests, recommendations, corrections, or other feedback relating to the Platform or services ("Feedback"), blist may use, disclose, reproduce, license, distribute, and otherwise exploit that Feedback for any purpose, without restriction, attribution, or compensation to you.

15. Privacy

Our collection, use, disclosure, and handling of personal information is governed by our Privacy Notice, which is incorporated into these Terms by reference.

You authorize blist to collect, use, disclose, and share information relating to your account, service requests, bookings, location, contact information, access instructions, household or site details, photographs, messages, vendor information, spending approvals, preferences, constraints, and other information you provide or make available through the Platform as reasonably necessary to evaluate, schedule, assign, coordinate, perform, support, document, pay for, review, investigate, or resolve services requested through the Platform. This may include sharing relevant information with independent service providers, payment processors, vendors, insurers, professional advisers, and other third parties as reasonably necessary for those purposes and as described in the Privacy Notice.

16. Intellectual Property and Limited License

The Platform and all content, features, functionality, software, code, workflows, designs, text, displays, graphics, logos, trademarks, service marks, trade dress, images, video, audio, data, selections, arrangements, and other materials made available by blist or through the Platform, other than User Content, are owned by blist, its affiliates, licensors, or other content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to your compliance with these Terms, blist grants you a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to access and use the Platform for your personal or internal business use solely in connection with the intended purpose of the Platform. No right, title, or interest in or to the Platform, or any content made available through them is transferred to you, and all rights not expressly granted are reserved by blist.

You may not, except as expressly permitted in writing by blist: copy, reproduce, republish, distribute, transmit, display, perform, modify, adapt, translate, create derivative works from, sell, license, sublicense, lease, rent, resell, exploit, scrape, crawl, frame, mirror, decompile, disassemble, reverse engineer, extract, harvest, or otherwise use the Platform or any content, materials, or information from the Platform, in whole or in part. Without limiting the foregoing, you may not use any robot, spider, crawler, scraper, data mining tool, or other automated means to access, monitor, copy, or collect data from the Platform.

The blist name, logo, and all related names, logos, product and service names, designs, slogans, and other source identifiers are trademarks of blist or its affiliates or licensors. You may not use such marks without blist's prior written consent. All other names, logos, product and service names, designs, and slogans appearing on the Platform are the property of their respective owners.

17. Copyright Complaints/DMCA Procedure

blist respects the intellectual property rights of others and expects users of the Platform to do the same. If you believe that any content made available through the Platform infringes your copyright or other intellectual property rights, you may send blist a written notice requesting removal of the material.

Your notice should include:

  • identification of the copyrighted work or other intellectual property right you claim has been infringed;
  • identification of the allegedly infringing material and information reasonably sufficient to permit blist to locate it;
  • your name, mailing address, telephone number, and email address;
  • a statement that you have a good-faith belief that the disputed use is not authorized by the rights owner, its agent, or the law;
  • a statement that the information in the notice is accurate; and
  • a statement, under penalty of perjury where applicable, that you are the owner of the right allegedly infringed or are authorized to act on the owner's behalf.

blist may remove or disable access to allegedly infringing material in its discretion and may terminate repeat infringers' access to the Platform where appropriate.

18. Disclaimer of Warranties

To the maximum extent permitted by law, the Platform and all services, content, coordination, recommendations, communications, third-party options, and related materials are provided "as is" and "as available," without warranties of any kind, express or implied.

blist disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, blist does not warrant that: the Platform will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Platform or the server that makes it available are free of viruses or other harmful components; any service will meet your expectations; any service provider or third party will be available, qualified, suitable, or successful; any third-party goods or services will be accurate, timely, safe, lawful, or free from defect; or any request, quote, booking, or recommendation will result in a particular outcome.

19. Limitation of Liability

To the maximum extent permitted by law, blist and its affiliates, officers, directors, employees, agents, licensors, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business interruption, personal injury, property damage, or other losses arising out of or relating to the Platform, these Terms, or any services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, blist's total liability for any claims arising out of or relating to these Terms, the Platform, or any services will not exceed the greater of: (A) the amount you paid to blist for the specific service giving rise to the claim in the three (3) months before the event giving rise to the claim; or (B) one hundred U.S. dollars ($100).

Nothing in these Terms excludes liability that cannot be excluded under applicable law. The limitations of liability shall apply to any theory of liability, whether based on warranty, contract, tort (including negligence), or otherwise, and whether or not the Company has been informed of the possibility of any such damage.

20. Release; Third-Party Disputes

To the maximum extent permitted by law, you release blist from claims, demands, and damages arising out of or relating to disputes between you and any independent service provider, vendor, merchant, carrier, venue, travel supplier, or other Third Party, except to the extent such claims arise directly from blist's own gross negligence, willful misconduct, or other non-waivable liability.

If you have a dispute with a service provider or Third Party, you agree that blist is not obligated to investigate or adjudicate the dispute or provide any particular outcome or remedy, although blist may review reported service issues, investigate incidents, and take action in its discretion under Section 21.

21. Service Issues; Incident Reports; Investigations; Resolution

If you believe that a service involved fraud, theft, unsafe conduct, harassment, illegality, material misconduct, or another serious service issue, you must report the matter to blist promptly and provide reasonably requested information so blist can review the issue.

blist may require you to submit a written incident report and supporting information, including photographs, messages, receipts, timelines, witness information, or other materials reasonably relevant to the issue. You agree to cooperate in good faith with any review or investigation relating to a reported service issue.

blist may, in its discretion, investigate reported issues and take any action it considers appropriate, including contacting the parties involved, requesting additional information, pausing or cancelling services, restricting or removing a service provider from the Platform, denying future bookings, or referring matters to insurers, law enforcement, regulators, or other appropriate persons or authorities where warranted.

If a reported issue affects a booked service, blist may, in its discretion and subject to the circumstances, offer a rescheduled service, replacement provider, account credit, partial refund, full refund, or no monetary relief. Nothing in these Terms requires blist to provide any particular remedy, to provide a replacement provider, or to resolve any matter in your favor.

Any rescheduled service, replacement provider, credit, refund, or other relief may depend on the facts available to blist and on whether the issue arose from customer action or inaction, service-provider action or inaction, a third party, the payment processor, or circumstances outside blist's reasonable control.

If you fail to provide information reasonably requested by blist or otherwise fail to cooperate in a review or investigation, blist may deny or limit relief, close the matter, or decline further action to the extent reasonably justified by that failure.

Nothing in this Section requires blist to adjudicate any dispute between you and any independent service provider or Third Party, to reach any particular outcome, or to provide any particular remedy, and blist may make Platform, trust-and-safety, and resolution decisions in its discretion based on the information available.

22. Indemnification

You agree to defend, indemnify, and hold harmless blist and its affiliates, officers, directors, employees, agents, licensors, service providers, and partners from and against any claims, damages, losses, liabilities, judgments, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your use of the Platform;
  • your requested services;
  • your User Content;
  • your breach of these Terms;
  • your violation of law;
  • your violation of the rights of any third-party person or entity, including any intellectual property right or privacy rights; or
  • your dealings with any service provider or Third Party.

This indemnification obligation will survive termination or expiration of these Terms and your use of the Platform.

23. Suspension and Termination

blist may suspend, restrict, investigate, or terminate your access to the Platform or any services at any time, with or without notice, for any reason or no reason, including suspected fraud, payment issues, policy violations, safety concerns, unlawful conduct, reputational concerns, inactivity, or operational reasons.

You may stop using the Platform at any time. Any obligations accrued before termination, including payment obligations, dispute-resolution obligations, and provisions that by their nature should survive, will survive termination.

24. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles, except to the extent preempted by federal law or otherwise required by applicable law.

25. Dispute Resolution; Arbitration

Please read this section carefully. It affects your legal rights.

(a) Informal Resolution First

Before commencing arbitration or filing any court action other than an action expressly permitted under subsection (d), you and blist agree to provide written notice of the dispute to the other party describing the nature of the claim and the relief requested. The parties will then use good-faith efforts to resolve the dispute informally for thirty (30) days after the notice is received, unless the parties agree in writing to extend that period.

(b) Small Claims Carve-Out

Either party may bring an individual claim in a court of competent small claims jurisdiction if the claim qualifies for that court and remains on an individual basis. If a claim filed in small claims court is transferred, removed, appealed, or otherwise no longer proceeds in small claims court, either party may require that the claim be resolved by arbitration under this Section.

(c) Agreement to Arbitrate

Except for disputes that properly proceed in small claims court under subsection (b) and requests for injunctive or other equitable relief under subsection (d), any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any services, any booking, any payment, or the relationship between you and blist shall be resolved by final and binding individual arbitration.

(d) Injunctive and Equitable Relief

Either party may seek temporary, preliminary, or permanent injunctive or other equitable relief in a court of competent jurisdiction, without waiving arbitration, where such relief is reasonably necessary to prevent immediate and irreparable harm, including with respect to misuse of confidential information, account compromise, unauthorized Platform access, intellectual property misuse, or other conduct that cannot be adequately remedied by money damages alone.

(e) Administrator; Rules; Arbitrator

The arbitration shall be administered by the American Arbitration Association ("AAA"). Unless AAA determines that another AAA rule set applies, the arbitration shall be administered under the AAA Consumer Arbitration Rules or other applicable AAA rules. The arbitration shall be conducted before a single arbitrator.

(f) Authority of Arbitrator

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration provision, including any claim that all or any part of this arbitration provision is void or voidable, except that a court may decide any issue expressly reserved to a court under subsection (d), any issue relating to whether a claim properly belongs in small claims court under subsection (b), and any issue relating to the enforceability of the class-action waiver. The arbitrator shall permit reasonable discovery proportionate to the needs of the dispute and may issue protective orders as appropriate. Except as necessary to enforce an award, comply with law, obtain professional advice, or seek relief permitted under subsection (d), the arbitration proceeding, all filings, testimony, evidence, and any award shall be treated as confidential by the parties.

(g) Seat; Location; Remote Proceedings

The seat and legal place of arbitration shall be Pennsylvania. Unless the parties otherwise agree or the arbitrator determines that an in-person hearing is necessary, the arbitration shall be conducted remotely by videoconference, telephone, written submissions, or a combination of those methods.

(h) Individual Proceedings Only; No Class Actions

To the maximum extent permitted by law, you and blist agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, mass, private-attorney-general, or representative action. The arbitrator shall have no authority to hear or arbitrate any such claim.

(i) Fees and Costs

Each party shall bear its own attorneys' fees and costs, except to the extent otherwise provided by these Terms, applicable law, or an award of the arbitrator on a basis expressly permitted by law. Arbitration filing, administrative, and arbitrator fees shall be allocated in accordance with the applicable AAA rules and fee schedule.

(j) Award; Judgment

The arbitrator shall issue a written award. Judgment on the award may be entered in any court of competent jurisdiction.

(k) Survival

This Section 25 survives termination of these Terms and your use of the Platform.

26. Miscellaneous

These Terms, together with any documents incorporated by reference and any additional written service-specific Terms agreed through the Platform, constitute the entire agreement between you and blist regarding the Platform and supersede prior discussions or agreements on the same subject matter.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

blist's failure to enforce any provision is not a waiver of that provision.

You may not assign these Terms without blist's prior written consent. blist may assign these Terms without restriction.
